Kurt J. Lesker Company and its affiliates (KJLC) strives to further its mission in enabling technology for a better world through its SPIRIT values (Sustainability, Passion, Integrity, Respectful, Innovation, and Team). In order to achieve its mission, this Supplier Code of Conduct (Code) has been implemented by KJLC to ensure that KJLC is partnering with suppliers, vendors and other service providers (Supplier or Suppliers) that share the KJLC SPIRIT values. By acknowledging this Code, each Supplier agrees to abide by the requirements detailed below.
Generally, KJLC expects its Suppliers to obey all laws and regulations and to conduct themselves in an ethical and professional manner at all times. These expectations extend not only to the Supplier and all of its employees, but also, if applicable, to its parent company, affiliates, and subsidiaries. Further, the Supplier should implement its own code of conduct within its supply chain, based upon principles of a substantially similar nature as those contained in this Code.
INTEGRITY
Our Suppliers should support our Integrity goals by committing to the following principles:
Business Integrity
- Compliance with the highest standards of integrity in all business transactions is expected.
- Suppliers shall not engage in nor shall they permit their agents or subcontractors to engage in any form of corruption, bribery, extortion or embezzlement.
- Suppliers shall not pay or accept bribes or facilitation payments of any kind, either directly or through the use of intermediaries.
- Suppliers shall put effective processes in place to detect counterfeit parts and materials and mark parts obsolete as appropriate.
- Suppliers must disclose all potential conflicts of interest, including those in which Supplier may have been placed inadvertently due to either business or personal relationships with customers, suppliers, business associates, or competitors of KJLC, or with other KJLC employees.
Confidentiality and IP Protection
- Suppliers must maintain the confidentiality of confidential and proprietary information entrusted to them, including maintaining the privacy of personal data in accordance with all applicable laws and regulations.
- Intellectual property rights belonging to a party with whom Supplier conducts business are to be respected.
Legal Compliance
- Suppliers shall comply with all laws and regulations applicable to the jurisdictions in which the Supplier conducts its business.

RESPECTFUL
Our Suppliers should support our Respectful goals by committing to the following principles:
No Illegal Employment Practices
- Forced, bonded or indentured labor or involuntary prison labor shall not be used.
- Suppliers will adopt measures to identify and prevent child labor and human trafficking within their facilities and will monitor their supply chain for such practices.
Fair Wages & Working Conditions
- Hours worked in any given week must not exceed the applicable legal requirements of the jurisdiction in which the work is being performed.
- Compensation paid to workers shall comply with all applicable wage laws.
- Workers shall not be subject to harsh or inhumane treatment.
No Discrimination or Harassment
- In carrying out hiring and promotion practices, there shall be no form of discrimination used.
- Harassment shall not be tolerated, and employees should be able to raise issues in a comfortable environment.
SUSTAINABILITY
Our Suppliers should support our Sustainability goals by committing to the following principles:
Pollution Prevention & Resource Reduction
- Measures should be taken to reduce waste, including of water and energy.
- Initiatives regarding the disposal and/or recycling of plastics, glass, aluminum, batteries, electronics or other materials should be implemented and maintained.
- Pollution prevention measures will be implemented by Supplier, including adherence to applicable emissions control regulations.
Conscientious Hazardous Substance Management
- Chemicals and other materials posing a hazard if released into the environment are to be identified and managed to ensure their safe handling, movement, storage, use, recycling or reuse, and disposal.
- Non-hazardous and environmentally friendly substances should be used when available and appropriate.
Environmental and Product Compliance
- Suppliers shall comply with all applicable environmental laws, including with respect to hazardous substances (including REACH, RoHS, California Prop 65), waste disposal (including WEEE) and conflict minerals.
- All required environmental permits, approvals and registrations are to be obtained, maintained and kept current. Operational and reporting requirements contained therein are to be strictly followed.
COMMITTED
Our Suppliers should support our commitment to our Code by committing to the following principles:
Regularly Reviewed
- This Code is regularly reviewed and updated by KJLC management and will change over time.
- Suppliers are expected to similarly review and update their own supplier codes of conduct consistent with KJLC's updates and the principles contained in the Code.
Supplier Audits
- KJLC performs routine audits to ensure compliance by Suppliers with the Code.
- Suppliers shall be transparent in all audits and provide accurate and timely information to enable KJLC to confirm compliance with the Code.
- Suppliers are expected to regularly communicate with KJLC regarding deficiencies in processes and procedures established in connection with the requirements of the Code.
Continual Improvement
- KJLC consistently invests in the continual improvement of its products, services, and processes through incremental and breakthrough improvements.
- Suppliers are expected to likewise devote resources to continual improvement of their operations, with special focus on the principles established in this Code.
SAFETY
Our Suppliers should support our safety goals by committing to the following principles:
Safety Focus
- Suppliers shall establish a commitment to safety throughout their organization. As an example, KJLC has a U.S. state certified Safety Committee that meets regularly and advises KJLC management on safety issues, best practices and improvement.
- Suppliers shall foster a safe and healthy work environment for employees, contractors and other visitors at all facilities.
- Supplier's facilities shall be free from drugs and drug-use.
Safety Accountability
- Employees, contractors, visitors and other stakeholders shall not be disciplined or suffer adverse consequences for raising safety concerns.
- Suppliers shall be proactive in addressing safety concerns and making continual efforts to identify and discontinue unsafe practices.
Occupational Safety
- Worker exposure to potential safety hazards are to be controlled through proper design, engineering and administrative controls, preventative maintenance, safe work procedures and ongoing safety training.
- If and when appropriate, workers are to be provided with well-maintained, properly-fitted personal protective equipment.
- Working conditions at Suppliers' facilities shall be designed and maintained to promote the safety of Supplier's employees, contractors, invitees and others, and should comply, at a minimum, with all required laws and regulations related to safety and health.
